These Terms of Service govern your access to and use of Resonance Labs, a deterministic intelligence platform operated by Aneidu Holdings, an Arizona company. By creating an account, accessing the platform, or using any of its features, you agree to be bound by these Terms. If you do not agree, do not use Resonance Labs.
Read these Terms carefully. They include important provisions that affect your legal rights, including limitations on our liability, an arbitration agreement where applicable, and rules governing how disputes are resolved.

"Resonance Labs," "we," "us," and "our" refer to Resonance Labs, operated by Aneidu Holdings.
"Platform" means the Resonance Labs website, application, analysis engine, APIs, and all related services.
"You," "your," and "user" refer to the individual or entity that has registered for an account or otherwise accesses the Platform.
"Content" means any document, text, file, or other material you submit to the Platform for analysis.
"Output" means the analysis results, findings, scores, receipts, and other data the Platform produces in response to your Content.
By creating an account or using the Platform, you represent that you are at least 18 years old, or between 13 and 18 with the consent of a parent or legal guardian, and that you have the legal authority to enter into these Terms. If you are using the Platform on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Resonance Labs regarding the Platform.
To access most features of the Platform, you must create an account. Account authentication is managed through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@resonancelabs.ai if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
We reserve the right to suspend or terminate accounts that we believe are being used in violation of these Terms or in a manner that creates risk to the Platform or other users.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Platform to violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights.
Submit Content that you do not have the legal right to submit, including Content that infringes intellectual property rights or that contains personal information you are not authorized to share.
Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or architecture of the Platform, except to the extent that applicable law expressly prohibits this restriction.
Probe, scan, or test the vulnerability of the Platform, breach any security or authentication measures, or interfere with the Platform's operation, except as part of a coordinated security disclosure submitted to support@resonancelabs.ai in advance.
Use the Platform to develop, train, or improve any competing product, service, or model.
Use automated means, including bots, scrapers, or crawlers, to access the Platform, except for publicly documented APIs used in accordance with their published terms.
Resell, sublicense, or otherwise commercially exploit the Platform or any Output without our prior written consent.
Use the Platform to transmit malware, spyware, or any other malicious code, or to engage in any activity that disrupts, damages, or impairs the Platform.
Use the Platform in any manner that could reasonably be expected to harm Resonance Labs, our users, or any third party.
We reserve the right to investigate and take appropriate action against any user we believe has violated this section, including removing Content, suspending or terminating accounts, and reporting violations to law enforcement.
Resonance Labs offers a Free tier and one or more paid subscription tiers, including a time-limited Believer tier with locked pricing. The features, limits, and pricing of each tier are described on the Platform and may be updated from time to time.
Payment processor. All paid subscriptions are processed through Stripe. By subscribing to a paid tier, you authorize us and Stripe to charge your designated payment method for the applicable subscription fees, including any taxes. Your use of Stripe is subject to Stripe's own terms and privacy policy.
Believer pricing. The Believer tier offers locked pricing for as long as your subscription remains continuously active. Believer pricing is available only during the launch window specified on the Platform. Once that window closes, the Believer tier is no longer offered to new subscribers, and existing Believer subscribers retain their locked rate as long as they maintain a continuous, uninterrupted subscription. If your Believer subscription lapses, is canceled, or is terminated for any reason, your locked pricing is forfeited and any future subscription will be at then-current rates.
Renewals. Paid subscriptions automatically renew at the end of each billing cycle until you cancel. You may cancel at any time through your account settings or by contacting support@resonancelabs.ai. Cancellation takes effect at the end of the current billing cycle, and you retain access until that date.
Refunds. All subscription fees are non-refundable except as required by applicable law or as expressly stated in writing by Resonance Labs. We do not offer prorated refunds for partial billing cycles, unused time, or downgrades.
Price changes. We may change the pricing of any subscription tier at any time. Price changes will not affect your current billing cycle. We will notify you of price changes that affect your subscription with reasonable advance notice, and continued use of the Platform after the change takes effect constitutes acceptance of the new pricing. Believer tier locked pricing is exempt from this provision and is governed by the Believer pricing terms above.
Failed payments. If a payment fails, we may suspend access to paid features until payment is resolved. Repeated failed payments may result in cancellation of your subscription.
Taxes. Subscription fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes arising from your subscription, except for taxes based on our net income.
Your Content. You retain all ownership rights in the Content you submit to the Platform. By submitting Content, you grant Resonance Labs a limited, non-exclusive, worldwide, royalty-free license to access, process, analyze, and store the Content solely for the purpose of providing the Platform and the Output to you, and for the limited additional purposes described in our Privacy Policy. This license terminates when you delete the Content from your account, subject to standard backup retention.
Your Output. Subject to your continued compliance with these Terms, you may use the Output produced by the Platform for your own internal business or personal purposes. You may not resell, redistribute, or commercially exploit the Output without our prior written consent.
Our intellectual property. The Platform, including the analysis engine, algorithms, software, design, branding, and all related materials, is owned by Aneidu Holdings or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Platform. All rights not expressly granted to you are reserved.
Feedback. If you provide us with feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
Resonance Labs is a software platform that produces deterministic, evidence-anchored analyses of documents. The Output is an analytical tool, not legal advice, and Resonance Labs is not a law firm or a substitute for one. The Output does not create an attorney-client relationship between you and Resonance Labs.
You are solely responsible for any decisions you make based on the Output, including decisions about whether to sign, negotiate, modify, reject, or otherwise act on any document. We strongly recommend that you consult with a qualified attorney before making legal decisions based on the Output.
The Platform and the Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Resonance Labs disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and quiet enjoyment.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected. We do not warrant that the Output will meet your requirements or that any specific result will be achieved through use of the Platform.
The Platform's analyses are deterministic with respect to a given engine version, document, and document type. Engine versions are updated over time, and earlier results can be reproduced only by pinning the engine version used to produce them.
To the fullest extent permitted by law, in no event will Resonance Labs, Aneidu Holdings, or any of our affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising from or related to your use of the Platform, whether based on contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total cumulative liability to you for any claims arising from or related to the Platform or these Terms is limited to the greater of (a) the amount you paid to us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Resonance Labs, Aneidu Holdings, and our affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to (a) your use of the Platform, (b) your Content, (c) your violation of these Terms, (d) your violation of any law or third-party right, or (e) any decision or action you take based on the Output.
Termination by you. You may terminate your account at any time by canceling your subscription and deleting your account through the Platform or by contacting support@resonancelabs.ai.
Termination by us. We may suspend or terminate your account, with or without notice, for any reason, including if we believe you have violated these Terms, if your continued use creates risk or liability for us or other users, if required by law, or if we discontinue the Platform.
Effect of termination. Upon termination, your right to access the Platform ceases immediately. We may retain certain information after termination as described in our Privacy Policy and as required by law. Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
We may modify, update, suspend, or discontinue the Platform or any feature of it at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the Platform before the changes take effect. The "Effective Date" at the top of these Terms will reflect the date of the most recent update. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Platform that is not resolved through informal discussion will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
You agree that any cause of action arising from or related to the Platform must be commenced within one year after the cause of action accrues. Otherwise, the cause of action is permanently barred.
Nothing in this section limits either party's right to seek injunctive or equitable relief in any court of competent jurisdiction.
Entire agreement. These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Resonance Labs regarding the Platform and supersede any prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other business transfer.
No third-party beneficiaries. These Terms are for the benefit of you and Resonance Labs only. No third party has any rights under these Terms.
Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, or government action.
Notices. We may provide notices to you by email to the address associated with your account or by posting on the Platform. You may provide notices to us at support@resonancelabs.ai.
